WaitRide Terms & Conditions

1. About WaitRide

WaitRide is a digital platform that connects passengers (“Riders”) with independent drivers (“Drivers”) for transportation-related services, including but not limited to:

• on-demand ride requests
• scheduled rides
• ride tracking
• fare estimation
• driver applications and onboarding
• payment processing
• customer notifications and support

WaitRide acts as a technology platform facilitating transportation services and related transactions.

2. Eligibility

To use WaitRide, you must:

• be at least 18 years old
• have the legal capacity to enter into binding agreements
• provide accurate, current, and complete registration information
• maintain the security of your account credentials

If you are using WaitRide on behalf of a business or organization, you confirm that you have authority to bind that entity to these Terms.

3. User Accounts

To access certain features, you may be required to create an account.

You agree to:

• provide truthful and complete information
• keep your account information updated
• keep your login credentials confidential
• notify us immediately if you suspect unauthorized access

You are responsible for all activity that occurs under your account unless caused by our negligence or security failure.

4. Rider Use of the Platform

As a Rider, you may use WaitRide to request transportation services subject to driver availability and service area coverage.

By using the Platform, you agree that:

• ride requests are subject to driver acceptance
• estimated pickup times and fares are not guaranteed
• actual route, timing, traffic, tolls, weather, or road conditions may affect the trip
• you will behave respectfully and lawfully during all rides
• you will not damage the driver’s vehicle or property
• you will not use the Platform for unlawful, fraudulent, abusive, or dangerous purposes

5. Driver Use of the Platform

Drivers using WaitRide must complete registration, screening, and approval before offering services on the Platform.

By registering as a Driver, you confirm that:

• all information and documents submitted are accurate and valid
• your driver’s license, vehicle registration, insurance, and required permits are current and lawful
• your vehicle is roadworthy, safe, and legally compliant
• you will comply with all traffic, safety, and transport laws applicable in your jurisdiction
• you understand that approval may be revoked for policy, legal, safety, or quality reasons

6. Independent Driver Relationship

Drivers using WaitRide are independent service providers and not employees, agents, partners, or representatives of WaitRide unless otherwise stated in a separate written agreement.

Drivers are solely responsible for:

• their own taxes
• vehicle maintenance
• licenses and permits
• insurance
• compliance with local transport and labor laws

7. Bookings, Scheduling, and Availability

WaitRide may allow immediate ride requests and/or scheduled bookings.

• scheduled rides are requests, not guaranteed transportation commitments unless explicitly confirmed
• driver availability may vary by location, time, and demand
• WaitRide may reassign, reschedule, or cancel requests where necessary for operational, legal, or safety reasons

8. Fares and Payments

By booking or accepting services through WaitRide, you agree to the applicable fare structure and payment terms shown in the Platform.

Charges may include:

• base fare
• distance and/or time-based charges
• booking or service fees
• waiting time charges
• cancellation fees
• tolls, taxes, or legally required charges

All payments made through WaitRide must be authorized and lawful.

9. Cancellations and No-Shows

Riders may cancel rides, but cancellation fees may apply depending on timing and whether a driver has already been assigned or arrived.

Drivers may also cancel rides where the Rider cannot be located, is unsafe, abusive, intoxicated beyond safe transport, or where the trip creates a safety or legal risk.

10. Safety and Conduct

All users must use WaitRide respectfully and responsibly.

You must not:

• threaten, harass, or assault others
• discriminate against any user
• carry prohibited, illegal, or dangerous items
• use the Platform to commit fraud or illegal acts
• impersonate another person or submit false information

WaitRide may suspend or permanently ban any account involved in unsafe, illegal, abusive, or fraudulent conduct.

11. User Content and Submitted Materials

You may provide content to WaitRide such as:

• profile details
• profile photos
• reviews and ratings
• support messages
• uploaded documents
• vehicle and licensing documents

You grant WaitRide a limited, non-exclusive, royalty-free license to use, store, process, display, and review submitted content for the purpose of operating, verifying, improving, and securing the Platform.

12. Verification and Background Review

WaitRide may request, review, verify, or reject user and driver information for safety, compliance, or operational reasons.

This may include:

• identity verification
• phone or email verification
• document verification
• driver and vehicle checks
• insurance verification

Submission of documents does not guarantee approval.

13. Ratings, Reviews, and Platform Quality

WaitRide may allow Riders and Drivers to rate and review each other.

• ratings and reviews must be honest and respectful
• fake, abusive, defamatory, or manipulative reviews are prohibited
• WaitRide may remove reviews that violate policy

14. Promotions, Coupons, and Referral Offers

WaitRide may offer discounts, promotional codes, or referral benefits from time to time.

• promotions are limited-time and non-transferable
• promotions have no cash value
• WaitRide may modify or cancel promotions at any time
• misuse or fraud involving promotions may result in suspension

15. Technology, Availability, and Platform Changes

We aim to keep WaitRide available and reliable, but we do not guarantee that the Platform will always be uninterrupted, error-free, or available in every situation.

We may:

• update or modify features
• add or remove services
• suspend parts of the Platform for maintenance or security
• restrict access in certain areas or for certain users

16. Privacy

Your use of WaitRide is also governed by our Privacy Policy, which explains how we collect, use, store, and protect personal information.

17. Intellectual Property

All rights, title, and interest in the WaitRide Platform, including but not limited to:

• the app and website
• software code
• branding and logos
• UI/UX design
• graphics and workflows
• platform features

remain the exclusive property of WaitRide / Ennova Group Ltd and its licensors.

18. Suspension and Termination

WaitRide may suspend, restrict, or terminate your access to the Platform at any time if:

• you breach these Terms
• you submit false information
• you engage in fraud, abuse, or unsafe conduct
• your use creates legal, safety, reputational, or operational risk

19. Disclaimers

To the maximum extent permitted by law, the Platform is provided “as is” and “as available.”

WaitRide does not guarantee:

• that rides will always be available
• that drivers or riders will always be suitable or compatible
• uninterrupted or error-free service
• exact arrival times or exact route conditions

20. Limitation of Liability

To the fullest extent permitted by law, WaitRide, Ennova Group Ltd, and their officers, directors, employees, affiliates, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

Our total liability arising out of or related to your use of the Platform shall not exceed the total amount paid by you to WaitRide through the Platform in the three (3) months preceding the event giving rise to the claim, unless otherwise required by law.

21. Indemnification

You agree to defend, indemnify, and hold harmless WaitRide, Ennova Group Ltd, and their affiliates, officers, employees, and partners from any claims, losses, liabilities, damages, costs, or expenses arising out of your misuse of the Platform or violation of these Terms.

22. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Rwanda, unless otherwise required by applicable mandatory law.

23. Dispute Resolution

If a dispute arises, users agree to first contact WaitRide in good faith to attempt informal resolution. If the matter cannot be resolved amicably, it shall be submitted to the competent courts of Rwanda.

24. Changes to These Terms

WaitRide may update these Terms from time to time. Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.
